Parker & Sons Trade Account Terms & Conditions

1. Definitions

In these Terms & Conditions:

  • "The Company" means Parker & Sons Trade Suppliers.

  • "The Customer" means the person, company or organisation applying for or operating a trade account.

  • "Goods" means any products supplied by Parker & Sons.

  • "Account" means any approved trade or credit account.

2. Opening an Account

Submission of a Trade Account Application does not guarantee acceptance.

Parker & Sons reserves the right to:

  • accept or decline any application

  • request further information

  • amend or withdraw credit facilities at any time without notice.

3. Pricing

Trade prices are subject to change without prior notice.

All prices:

  • are exclusive of VAT unless otherwise stated

  • are quoted subject to availability

  • may vary due to supplier price increases.

Any quotation is valid for 30 days unless otherwise agreed in writing.

4. Credit Accounts

Credit facilities are offered entirely at the discretion of Parker & Sons.

Approved customers will receive a credit limit.

The Company reserves the right to:

  • reduce credit limits

  • suspend credit facilities

  • require payment before further goods are supplied.

5. Payment Terms

Unless otherwise agreed in writing:

  • invoices are payable within 30 days from the invoice date

  • payments must be made in Pounds Sterling (£)

  • payment may be made by:

    • Bank Transfer

    • Debit Card

    • Credit Card (where accepted)

    • Cash

6. Late Payment

Failure to pay by the due date may result in:

  • suspension of the account

  • cancellation of future deliveries

  • withdrawal of credit facilities

  • recovery of outstanding debts.

Parker & Sons reserves the right to charge interest on overdue balances in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

The Customer shall also be liable for any reasonable debt recovery costs incurred.

7. Ownership of Goods

Ownership of all goods remains with Parker & Sons until payment has been received in full.

Until ownership passes:

  • goods remain the property of Parker & Sons

  • Parker & Sons reserves the right to recover unpaid goods where legally permitted.

8. Delivery

Delivery dates are estimates only.

While every effort will be made to meet delivery times, Parker & Sons accepts no liability for delays caused by:

  • supplier shortages

  • transport issues

  • weather

  • events outside our reasonable control.

Customers must inspect deliveries immediately and notify us of shortages or damage within 24 hours.

9. Returns

Stock items may only be returned with prior agreement.

Returns must:

  • be unused

  • be in original packaging

  • be accompanied by proof of purchase.

Special order or non-stock items may not be returnable.

Returned goods may be subject to a handling or restocking charge.

10. Warranties

Manufacturer warranties apply where provided.

Parker & Sons will assist customers with warranty claims where possible but accepts no liability beyond that provided by the manufacturer.

11. Customer Responsibilities

The Customer agrees to:

  • provide accurate information

  • notify Parker & Sons of any change of address or ownership

  • keep account details secure

  • ensure only authorised persons purchase on the account.

The Customer is responsible for all purchases made using their account.

12. Account Suspension

Parker & Sons may suspend or close an account where:

  • invoices remain unpaid

  • false information has been supplied

  • credit limits are exceeded

  • there is evidence of misuse of the account.

13. Limitation of Liability

To the fullest extent permitted by law, Parker & Sons shall not be liable for:

  • indirect losses

  • loss of profit

  • business interruption

  • delays outside its reasonable control.

Nothing within these Terms excludes liability for death or personal injury caused by negligence or any liability that cannot legally be excluded.

14. Data Protection

Personal information will be processed in accordance with UK GDPR and the Data Protection Act 2018.

Information may be used for:

  • administering your account

  • processing orders

  • conducting credit checks (where applicable)

  • communicating regarding your account.

We will never sell your personal information.

15. Changes to Terms

Parker & Sons reserves the right to amend these Terms & Conditions at any time.

The latest version will always be available upon request or via our website.

16. Governing Law

These Terms & Conditions shall be governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
